An EU label, not a stand-alone Luxembourg company form
An ELTIF must qualify as an alternative investment fund and comply with the EU ELTIF Regulation. A Luxembourg ELTIF can be established using an eligible underlying legal vehicle. The label does not replace the requirements of the underlying Luxembourg product regime.
ELTIF 2.0 and retail distribution
Regulation (EU) 2023/606 revised the ELTIF framework and applies from 10 January 2024. Among other things, the updated rules changed investment limits and arrangements for distribution to retail investors. The exact disclosures and distribution safeguards depend on the fund.
Liquidity deserves special attention
Investments such as infrastructure, private equity and private debt can be long-term or comparatively illiquid. An ELTIF may therefore have redemption limits or restrictions. Read the prospectus and investor disclosures before investing.
Practical checks
- Check the ELTIF’s official authorisation and the identity of its authorised EU AIFM.
- Review the eligible assets, diversification approach, fund duration and leverage provisions.
- Understand subscriptions, redemptions, potential losses and the costs.
- Do not assume that the ELTIF label guarantees returns or easy exit.
