Regulatory approval is the main structural difference

A Luxembourg SIF is subject to prior authorisation and ongoing supervision by the CSSF under its applicable product regime. By contrast, the RAIF itself is not directly authorised as a fund product by the CSSF.

A RAIF must be managed by an authorised external AIFM, which has its own regulatory obligations. Avoid suggesting that the RAIF’s non-authorised product status means the absence of compliance obligations.

Investor eligibility: both are specialist regimes

Both structures are reserved for well-informed investors within the relevant Luxembourg legal definitions. That category includes specified institutional or professional investors and certain others who satisfy the applicable conditions.

Neither structure should be marketed as a standard retail fund merely because the product is Luxembourg-domiciled. Distribution restrictions and investor qualification must be checked for each target market.

Practical considerations for fund initiators

  • Review whether an investor or service provider expects direct CSSF fund-product authorisation.
  • Assess the proposed AIFM’s licence scope, experience, oversight, delegation and risk-management arrangements.
  • Define depositary, central administration, auditor and other operational responsibilities at the start.
  • Check strategy and eligible assets, portfolio risk-spreading rules, legal form and country-specific marketing requirements.
  • Model establishment and ongoing operating costs from real provider quotations, not generic online averages.

Does a RAIF necessarily launch faster or cost less?

The absence of direct product authorisation may remove one formal step, but a RAIF launch still depends on external AIFM onboarding, legal documentation, operations, service providers and compliance controls. There is no universal launch time.

A SIF’s direct authorisation may be valuable in situations where investors or mandate terms require a supervised fund product. Neither structure is automatically the cheaper or better choice.

Questions to resolve before making the choice

Who are the eligible target investors? Which countries will be approached? What is the investment strategy and liquidity model? Which regulated entity will carry responsibility for management and risk? Does an investor mandate insist on direct product-level CSSF supervision?

The answers should be reviewed with qualified Luxembourg legal, tax and regulatory advisers. This guide is an overview rather than structuring advice.

!

A RAIF is not a CSSF-authorised fund product. Describing its appointed AIFM as authorised must not be presented as CSSF approval of the RAIF itself.
